Who We Serve
Business Owners Your business equity is the largest asset on your personal balance sheet. What it’s worth and how to plan for an eventual exit is the question. That's where we start. Private Equity & Hedge Fund Professionals Concentrated wealth in illiquid interests, complex compensation structures, and a tax landscape that requires active planning. We understand your world. Technology Founders Your equity is concentrated. A liquidity event is coming, and the financial plan has to start somewhere. It should start before the transaction, not after. Real Estate Investors Most of your net worth is locked in hard assets. Converting that into a diversified, income-generating financial life requires planning that goes well beyond a brokerage account. Healthcare Practice Owners Private equity is circling. DSO offers are real. Understanding what your practice is worth, and what comes after a sale, is a financial planning problem that most advisors aren't equipped to address. Manufacturing Business Owners Strategic buyer vs PE vs ESOP analysis for Connecticut manufacturing and industrial business owners. CEPA® advisors in Fairfield County. Professional Services Owners Partnership equity valuation, buyout mechanics, and external acquisition planning for Connecticut professional services firm owners. Corporate Executives Complex compensation, deferred equity, and a financial life that's been perpetually on the back burner while you focused on the job. We build the plan you've been meaning to build. Pre-Retirees Are you actually on track? Income replacement, Social Security timing, Roth conversions, annuity planning, and retirement income planning for Connecticut pre-retirees. Families & Individuals Multi-generational wealth planning, estate coordination, and comprehensive financial planning for high-net-worth families in Fairfield County.

The Three Questions Nick Hears Most

Almost every first conversation with a business owner arrives at the same three questions. Do I have enough money to last the rest of my life? How can I pay less in taxes? How do I determine what my business is worth?

The third is usually where the work begins, and it is the one most owners have never been asked in a structured way. That is not a reflection on the owner. They are very good at what they do. Running the company consumes the day, and understanding what an outside buyer would actually pay for it is a separate discipline that no one has had reason to bring them.

Nicholas DiFalco, Managing Partner at Westport Wealth Partners

Nicholas DiFalco, APMA®, CEPA®

Managing Partner, Westport Wealth Partners
Wealth Advisor, RJFS

Nicholas helps individuals, families, and business owners navigate many of the financial decisions that shape their futures. His work focuses on retirement income planning, investment management, wealth preservation, and helping business owners prepare for the eventual transition of their companies.

He holds two professional designations that align with these areas of focus. The Accredited Portfolio Management Advisor℠ (APMA®) designation, awarded by the College for Financial Planning, a Kaplan Company, focuses on portfolio construction, asset allocation, and risk management. The Certified Exit Planning Advisor (CEPA®) designation, awarded by the Exit Planning Institute, focuses on business valuation, ownership transition strategies, and the financial planning considerations that accompany a business sale.

Perspective

What Happens the Day After a Sale

This is the planning problem Nick considers the most important one in the practice, and the one he wants Westport Wealth Partners to be known for.

A business owner spends decades with two things running in parallel: income coming in, and deductions going out. A sale ends both on the same day. The company that was the paycheck and the tax shelter is gone, and whatever replaces it has to be built on purpose.

In Nick's framing, the question is how to take the proceeds and replace that cash flow for the rest of a life. Answering it well is work that starts years before a transaction, not after one.

Clients

Who Nick Works With

Nick works primarily with business owners in their sixties who are either planning an exit or beginning to explore one. They are high-net-worth, most of their wealth is concentrated in a company they built, and they usually need several things at once: a financial plan, wealth management, the exit itself, and often estate planning.

He also works with people who have built substantial wealth over a long career of high earnings and equity appreciation, and who want the investment side handled well enough that it stops being something they think about.

What this group worries about privately is consistent. Not realizing the value they spent a working life building. Paying more to the government at death than to their children. And whether a transition to the next generation will actually work.

The clients Nick works best with are the ones who want advice and ask good questions. He would rather explain the thinking than hand down a recommendation.

Coordination

Assembling the Right Team

An owner exit is not a one-person job. It involves CPAs, attorneys, and investment bankers, and Nick treats a significant part of his role as building that team and coordinating it around the owner's plan, rather than leaving the owner to manage a group of specialists who have never worked together.

Through the Raymond James affiliation, that includes access to Raymond James investment banking for qualifying transactions. Raymond James does not provide tax or legal services. This work is coordinated with the client's own CPA and attorney.

Philosophy

How Nick Approaches the Work

That emphasis on the downside runs through the portfolio work. APMA® training is in the mechanics of building portfolios, and Nick's view is that a portfolio only does its job if the client can stay with it when markets are difficult. A theoretically optimal allocation that a client abandons in a bad quarter has not helped anyone.

He is also direct about what this work is and is not. “It is not just about the market. There are tax-aware planning considerations, risk management, and broader financial planning decisions that can add value.” His own view, and the one the practice is built around, is that the financial plan carries more weight than the investing does.

Approach

What Nick Focuses On

His work with clients covers:

  • building the plan that accounts for investments, tax coordination with the client's CPA, estate planning, and business interests together rather than in separate conversations.
  • designing and maintaining portfolios that serve the plan, with deliberate attention to risk and to how a portfolio behaves in a downturn.
  • helping owners understand what the company is worth today, what would improve that value, and what the realistic transition paths actually are.
  • bringing in the CPAs, attorneys, and Raymond James investment bankers a transaction requires, and keeping the owner's personal financial plan at the center of it.
